GeoData – Terms of Service & Data License Agreement

1. License Grant
Upon payment, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the purchased dataset solely for your own internal business purposes or within products/services you offer to your end-users.
2. Prohibited Uses – You may not (directly or indirectly):
- •Resell, redistribute, share, lease, republish, or make available the dataset (or any substantial portion of it) in raw or minimally modified form
- •Transfer or disclose the dataset to any third party, including clients, affiliates, subsidiaries, contractors, freelancers, agencies, or portfolio companies
- •Use the dataset (or any substantial portion) to create, train, or populate a competing point-of-interest, venue, or business-contact database that is sold, licensed, or distributed
- •Remove, obscure, or modify the required copyright or attribution notices (including the Overture Maps notice)
3. Attribution Requirement
The dataset contains data licensed from the Overture Maps Foundation under CDLA-Permissive-2.0. You must retain the notice

4. Termination
Any breach of Section 2 immediately and automatically terminates your license without refund. We may also pursue all available legal remedies, including damages and injunctive relief.
5. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of Delaware, United States (without regard to conflict of laws principles). Any dispute must be resolved in the state or federal courts located in Delaware. No class actions or jury trial.
6. Entire Agreement
By purchasing or downloading the dataset you confirm that you have read, understood, and agree to be bound by these Terms (which supersede any prior agreements or understandings).
